Existing customers: These Terms take effect for your account on December 2, 2026.
See Additional Terms Section 9, “Prior Terms” for details.
These Terms of Service (this “Agreement”) are between ClearSync, Inc., a Delaware corporation (“Provider” or “ClearSync”), and the company or person that signs up for, accesses, or uses the Product (“Customer”). This Agreement applies to every Customer, including Customers on a Free Trial, a monthly Plan, or an annual Plan, and Customers who signed up under a prior version of Provider’s terms (see Additional Terms Section 9, “Prior Terms”).
The Product is offered for business use only. By accepting this Agreement, Customer confirms that it is a business, or an individual acting for business purposes, and that the person accepting is at least 18 years old.
This Agreement consists of: (1) this Cover Page, which includes the Order Form, Key Terms, Attachments and Supplements, and Additional Terms below; and (2) the Standard Terms defined below.
By clicking to accept this Agreement, creating an account, or accessing or using the Product, Customer accepts this Agreement and agrees to be bound by it. If you are accepting this Agreement on behalf of a company, you represent that you are authorized to accept it on behalf of that company, and “Customer” means that company.
If Customer has signed a separate order form, cover page, or other written agreement with Provider for the Product (a “Signed Agreement”), the Signed Agreement controls to the extent it conflicts with this Agreement, and this Agreement governs anything the Signed Agreement does not address.
Order Form
Framework Terms: This Order Form incorporates and is governed by the Framework Terms, which are made up of the Key Terms, Attachments and Supplements, and Additional Terms on this Cover Page, and the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (https://commonpaper.com/standards/cloud-service-agreement/2.1/) (the “Standard Terms”), which are incorporated by reference. Any modifications to the Standard Terms made on this Cover Page control over conflicts with the Standard Terms. Capitalized words have the meanings given on this Cover Page or in the Standard Terms.
Cloud Service: ClearSync, a cloud-based integration that syncs Customer’s Stripe billing data (including customers, subscriptions, invoices, and payments) into HubSpot and calculates revenue metrics such as MRR and ARR to support reporting and automation within HubSpot. The Cloud Service includes any add-ons Customer subscribes to through the Product or Provider’s pricing page, or that are included in a Signed Agreement.
Plan: The plan Customer selects at signup, at checkout, or within the Product, or the plan stated in a Signed Agreement (the “Plan”). Customer’s Plan selection forms part of this Order Form and sets Customer’s pricing tier, billing period, and any add-ons.
Order Date: The Effective Date. For Customers who start on a Free Trial, the Order Date is the date Customer’s first paid Subscription Period begins.
Subscription Period: 1 month, unless Customer’s Plan has a longer billing period (for example, 12 months for an annual Plan), in which case the Subscription Period is that longer period. Each Subscription Period renews automatically for another period of the same length unless either party gives notice of non-renewal by the Non-Renewal Notice Date below.
Cloud Service Fees: The Fees for the Cloud Service are the prices shown on Provider’s pricing page (https://www.clearsync.ai/pricing) for Customer’s Plan when Customer subscribes, including any add-ons, as later adjusted under “Tier Changes” and “Price Changes” below, unless a Signed Agreement states otherwise. Fees are in U.S. Dollars. Pricing tiers are based on the annual recurring revenue (ARR) processed through Customer’s connected Stripe account, as measured by the Cloud Service. Each tier includes a set number of active Stripe subscriptions, and additional blocks of active subscriptions are charged as shown on the pricing page. Customer will pay Provider the applicable Fees for Customer’s tier and any additional subscription blocks.
Tier Changes: If Customer’s ARR exceeds the limits of Customer’s current tier, or Customer’s active Stripe subscriptions exceed the number included in its Plan, Provider will notify Customer (including by email or notification within the Product) and apply the higher tier or the charge for additional subscription blocks as follows:
Monthly Plans: The new Fees apply from the effective date stated in the notice, which will be at least 7 days after the notice is sent.
Annual Plans: The new Fees apply from the start of Customer’s next Subscription Period. Provider will not charge a mid-term difference for the current Subscription Period.
Price Changes: Provider may change its pricing by giving Customer at least 7 days’ notice (including by email or notification within the Product). A price change applies starting with Customer’s first Subscription Period that begins at least 7 days after the notice is sent.
One-Time Services: Fees for one-time services, such as Expert-Led Implementation, are stated at the time of purchase and are not subscription Fees. See Additional Terms Section 5, “Professional Services.”
Payment Process: Automatic payment. Customer authorizes Provider (and its payment processor) to charge Customer’s payment method on file at the start of each Subscription Period (monthly or annually, according to Customer’s Plan), and for any tier changes, additional subscription charges, add-ons, or one-time Fees described in this Order Form, for immediate payment or deduction without further approval.
Technical Support: Provider will provide commercially reasonable support by email at support@clearsync.ai and, where Provider has set one up with Customer, through a shared Slack channel, during Provider’s normal business hours (Monday through Friday, U.S. Eastern Time, excluding U.S. federal holidays). Provider does not commit to specific response or resolution times.
Non-Renewal Notice Date:
For Customer: Any time before the end of the current Subscription Period, by cancelling within the Product or by emailing support@clearsync.ai. Cancellation takes effect at the end of the current Subscription Period, and Customer keeps access until then. Fees already paid are non-refundable, except as stated in the Standard Terms or on this Cover Page.
For Provider: At least 30 days before the end of the current Subscription Period.
Key Terms
Customer: The company or person who signs up for, accesses, or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all uses of the word “Customer” in this Agreement mean that company.
Provider: ClearSync, Inc.
Effective Date: The date Customer first accepts this Agreement or first accesses or uses the Product, whichever is earlier. For Customers who accepted a prior version of Provider’s terms, see Additional Terms Section 9, “Prior Terms.”
Governing Law: The laws of the State of Delaware, without regard to its conflict of laws rules.
Chosen Courts: The state or federal courts located in the Commonwealth of Massachusetts.
Covered Claims:
Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.
Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.
General Cap Amount: The greater of (a) the Fees paid or payable by Customer to Provider in the 12-month period immediately before the claim, or (b) US $100.
Notice Address:
For Provider: support@clearsync.ai, or by mail to ClearSync, Inc., 125 Mt. Auburn Street #380773, Cambridge, Massachusetts 02238, USA.
For Customer: The main email address on Customer’s account.
Attachments and Supplements
Security Policy: Provider will use commercially reasonable efforts to secure the Cloud Service from unauthorized access, alteration, or use and other unlawful tampering. Current information about Provider’s security practices is available on Provider’s Trust Center at https://www.clearsync.ai/trust-center.
Privacy Policy: Provider’s Privacy Policy at https://www.clearsync.ai/privacy describes how Provider collects and uses personal data about visitors to Provider’s website and Users of the Product. The Privacy Policy does not govern Customer Content, which Provider processes on Customer’s behalf under this Agreement and, if executed, the DPA.
Data Processing Agreement: Provider’s Data Processing Agreement (the “DPA”), based on the Common Paper DPA Standard Terms Version 1.1, is available on request at support@clearsync.ai. Under Section 3.1 of the Standard Terms, Customer must enter into the DPA before submitting Personal Data governed by the GDPR. Once executed by both parties, the DPA is incorporated into this Agreement and controls as described in Section 3.1 of the Standard Terms.
Additional Terms
The following terms modify the Standard Terms and control over any conflict with them.
1. Free Trial
Provider may offer Customer a free trial of the Product for the period shown at signup (a “Free Trial”). During a Free Trial, Customer may access and use the Cloud Service under Section 1.1 of the Standard Terms as if the Free Trial were a Subscription Period, subject to this Section. No Fees are charged during a Free Trial, and a Free Trial does not convert to a paid Plan automatically: Customer is charged only if it chooses a paid Plan. Unless Customer subscribes to a paid Plan before the Free Trial ends, Customer’s access to the Cloud Service will end or be limited when the Free Trial ends. During a Free Trial, the Product is provided “AS IS,” without any warranty or indemnity from Provider, and Sections 6.3, 6.4, and 9.1 of the Standard Terms do not apply. Provider may modify or end a Free Trial at any time. If Customer does not subscribe to a paid Plan, Provider will delete Customer Content associated with the Free Trial as described in Section 6 below.
2. Third-Party Platforms
The Cloud Service works with third-party platforms that Customer connects to it, including Stripe and HubSpot (“Third-Party Platforms”). Customer authorizes Provider to access, read, and write data in Customer’s connected Third-Party Platform accounts as needed to provide the Cloud Service according to Customer’s settings. Customer is responsible for maintaining its own Third-Party Platform accounts, for the permissions it grants, and for complying with the Third-Party Platforms’ terms. Customer may revoke Provider’s access at any time by uninstalling the ClearSync app from a Third-Party Platform. Revoking access stops syncing but does not by itself cancel Customer’s Plan or end Fees; to stop Fees, Customer must cancel as described in the Non-Renewal Notice Date above. Provider is not responsible for the availability, security, accuracy, or actions of any Third-Party Platform, or for the data they provide. If a Third-Party Platform changes or restricts its services or APIs in a way that prevents Provider from providing a feature, Provider may modify or discontinue that feature. If that change materially reduces the functionality of the Cloud Service, Customer may terminate this Agreement by notice to Provider and will receive a prorated refund of any prepaid Fees for the remainder of the current Subscription Period.
3. Customer Configuration
Customer controls how the Cloud Service is configured, including which data is synced and which properties, records, associations, and workflows are created or updated in Customer’s HubSpot account. Changes the Cloud Service makes in Customer’s HubSpot account according to that configuration are made on Customer’s instructions. Customer is responsible for reviewing its configuration and the resulting changes in its HubSpot account.
4. Revenue Metrics
Metrics calculated by the Cloud Service, such as MRR, ARR, and churn, are based on the data in Customer’s connected accounts and Customer’s configuration. They are provided for Customer’s internal business use and are not accounting, tax, financial, or investment advice. Customer is responsible for reviewing them before relying on them for financial statements, investor reporting, or similar purposes.
5. Professional Services
If Customer purchases one-time services, such as Expert-Led Implementation (“Professional Services”), Provider will perform them in a professional and workmanlike manner, as described at the time of purchase. Fees for Professional Services are charged at purchase and are non-refundable. Provider will work with Customer to schedule the Professional Services after purchase. If Customer has not made itself available to complete them within 6 months after purchase, Provider’s obligation to perform them ends. Configurations that Provider builds in Customer’s HubSpot account as part of Professional Services, such as dashboards, properties, and workflows, belong to Customer. Provider keeps ownership of the Product and of its general know-how, methods, and templates.
6. Customer Content and Deletion
Customer Content includes data the Cloud Service retrieves from Customer’s connected Third-Party Platform accounts and the records the Cloud Service creates from that data. Provider will use Customer Content only as permitted by Section 1.5 of the Standard Terms. Provider will delete Customer Content from its systems promptly after Customer asks, which Customer can do by deleting its account in the Product or by emailing support@clearsync.ai. Even without a request, Provider will delete Customer Content within 60 days after Customer’s Plan or Free Trial ends without a paid renewal. Deleted data then ages out of Provider’s backups and logs on their regular retention schedules, as described on the Trust Center. Records the Cloud Service has already written to Customer’s HubSpot account remain under Customer’s control and are not deleted by Provider.
7. No Model Training
Despite Section 1.6 of the Standard Terms, Provider will not use Customer Content or Usage Data to train artificial intelligence or machine learning models.
8. Changes to this Agreement
Despite Section 12.2 of the Standard Terms, Provider may update this Agreement as follows:
Notice. Provider will post the updated Agreement at https://www.clearsync.ai/terms, with a notice of the upcoming changes, at least 30 days before the changes take effect. Changes required by law may take effect sooner if the law requires. Changes that apply only to new features take effect when those features become available. Changes that do not materially affect Customer’s rights or obligations, such as updated contact details or corrections, may be made by posting the updated Agreement.
Acceptance. Customer’s continued use of the Product after the effective date of an update constitutes acceptance of the updated Agreement.
Right to exit. If Customer does not agree to an update, Customer may cancel before the effective date. If Customer has prepaid Fees for a Subscription Period that extends past the effective date, Customer may instead terminate this Agreement by notice before the effective date and will receive a prorated refund of those prepaid Fees for the remainder of that Subscription Period.
No retroactive changes. Except as stated in Section 9 below, an update does not apply to any dispute arising from events before the update takes effect; the version of this Agreement in effect when those events occurred governs that dispute.
Pricing. Changes to pricing and tiers follow “Price Changes” and “Tier Changes” in the Order Form above, not this Section.
Signed Agreements. Changes to a Signed Agreement require a written amendment signed by both parties.
9. Prior Terms
This Agreement replaces Provider’s Terms of Use (Version 1.0, last revised May 31, 2025) (the “Prior Terms”).
Transition Date. For Customers who accepted the Prior Terms, this Agreement takes effect on December 2, 2026 (the “Transition Date”), following notice under Section 10.1 of the Prior Terms. For these Customers, the Effective Date and the Order Date are the Transition Date, and Customer’s current Plan and billing cycle continue unchanged. Customers who first accept this Agreement on or after October 30, 2026 are bound by it from their Effective Date.
Events before the Transition Date. The Prior Terms continue to govern events that occurred before the Transition Date. Unless Customer rejects the arbitration change under the last bullet of this Section, any dispute between Customer and Provider, including a dispute about those events, will be resolved under the Governing Law and in the Chosen Courts as provided in Section 12.3 of the Standard Terms, and not by arbitration.
End of arbitration. Unless Customer rejects the arbitration change under the next bullet, the arbitration agreement in Section 10.2 of the Prior Terms no longer applies as of the Transition Date.
Right to reject the arbitration change. As permitted by Section 10.2(k) of the Prior Terms, a Customer that accepted the Prior Terms may reject the end of arbitration by emailing support@clearsync.ai, with “Reject arbitration change” in the subject line, within 30 days after the Transition Date. If Customer does so, then despite Section 12.3 of the Standard Terms, Section 10.2 of the Prior Terms will continue to apply to disputes between Customer and Provider, and the rest of this Agreement still applies.
10. Website Visitors
This Section 10 is the only part of this Agreement that applies to people who visit Provider’s website without creating an account. Visitors may use the website and its content only for lawful, informational purposes, and may not interfere with the website, attempt to gain unauthorized access to it, or copy or scrape its content other than for ordinary browsing and search engine indexing. Provider’s Privacy Policy describes how Provider handles visitors’ personal data. The website is provided “AS IS,” without warranties of any kind, and, to the maximum extent permitted by law, Provider is not liable for any damages arising from a visitor’s use of the website. The Governing Law and Chosen Courts above apply to that use.
11. Order of Precedence
The DPA controls with respect to Personal Data as stated in Section 3.1 of the Standard Terms. Otherwise, in the event of a conflict, the following order applies: (1) any Signed Agreement; (2) this Cover Page, including these Additional Terms; and (3) the Standard Terms.
